Counseling the Board, Crisis Management: Focus of Securities Law Institute

CHICAGO --- Counseling the board, disclosure and crisis management and mitigating litigation are among the key topics to be covered during the 33rd Annual Ray Garrett Jr. Corporate and Securities Law Institute, held Thursday and Friday, May 2 and 3, at Northwestern University School of Law, 375 E. Chicago Ave., Thorne Auditorium.

Led by top corporate law practitioners, this year’s institute includes perspectives from board members, in-house and private-practice attorneys, and regulators about the ever-changing developments in the current legal and regulatory environment.

Through the use of a hypothetical situation, “Dealing With Challenging Securities Problems: The Corporate Process Examined” will provide a three-session examination from 8:45 a.m. to 12:30 p.m. on Thursday, May 2 of challenging corporate and securities law issues with practical advice on how to deal with them.

The always popular mock trial returns with Leo E. Strine Jr., chancellor of the Delaware Court of Chancery. Arguments will be heard in a preliminary injunction setting addressing “Don’t Ask, Don’t Waive” Provisions. Litigators Sandra C. Goldstein of Cravath, Swaine & Moore LLP, and Gregory P. Williams of Richards, Layton & Finger, will participate with Mark D. Gerstein providing commentary at 3 p.m. Thursday, May 2.

Lona Nallengara, acting director of the division of corporation finance at the Securities and Exchange Commission (SEC), will participate in a discussion along with members of the division’s senior staff at 1:30 p.m. Thursday, May 2 during the SEC Roundtable.

Adolfo Laurenti, deputy chief economist at Mesirow Financial, will discuss the global economy as the institute’s keynote speaker at 9 a.m. Friday, May 3.
