In-House Counsel: Modern Corporations

- Large in-house legal departments have only recently become a significant part of the legal landscape. The rise of in-house legal departments fundamentally changed the manner in which traditional law firms serve their clients. Yet few law firm attorneys have a deep understanding of the daily challenges and responsibilities of in-house attorneys.
The course will provide students with insights into the role and responsibilities of in-house departments in public and private companies. Topics covered will include approaches utilized by in-house counsel to manage law firms; management of the corporate law department by General Counsel; the relationship between in-house counsel, senior executives and the board of directors; the role of in-house counsel in internal investigations and regulatory compliance; and management of litigation.
The class will include guest speakers from leading corporate law departments and law firms. Prior speakers include the General Counsel of Brunswick, Citadel, Kraft, Miller-Coors, and United Airlines and senior legal executives from McDonalds, Motorola and the Securities and Exchange Commission. - Guest speakers: A guest speaker will address the class most weeks.
